ZapLah Traveller Service Agreement

This Agreement governs users who list trips, submit traveller offers, purchase or carry requested items, complete delivery, or receive traveller payouts.

About This Agreement

This Traveller Service Agreement is entered into between ZapLah Pte. Ltd. (“ZapLah”, “we”, “us” or “our”) and the person accepting this Agreement and acting as a Traveller through the ZapLah Services (“Traveller”, “you” or “your”). It sets out the specific rules that apply to Traveller Services, compensation, evidence, delivery, compliance and payout processing.

Relationship with the Terms: This Agreement supplements and forms part of the ZapLah Terms of Service. Capitalised terms not defined here have the meanings given in the Terms. If there is an inconsistency, this Agreement prevails only for Traveller Services, Traveller responsibilities, Traveller compensation and Traveller payouts.

Traveller Agreement Introduction

This Traveller Service Agreement (“Agreement”) is entered into between ZapLah Pte. Ltd. (“ZapLah”, “we”, “us” or “our”) and the person accepting this Agreement and acting as a traveller through the ZapLah Services (“Traveller”, “you” or “your”).

This Agreement supplements and forms part of the ZapLah Terms of Service (“Terms”). Capitalised terms not defined in this Agreement have the meanings given in the Terms.

If there is any inconsistency between this Agreement and the Terms, this Agreement will prevail only in relation to Traveller Services, Traveller responsibilities, Traveller compensation and Traveller payouts. The Terms will otherwise continue to apply.

1. Acceptance and Electronic Record

By selecting the acceptance checkbox and confirming your acceptance in the ZapLah application, you confirm that you have read, understood and agreed to this Agreement and intend to be legally bound by it.

ZapLah may retain an electronic record of your acceptance, including your ZapLah account identifier, the applicable agreement version, the agreement document reference, the acceptance date and time, and the cryptographic hash or other identifier associated with the accepted document.

You should review this Agreement carefully before accepting it and retain a copy for your records.

2. Eligibility and Authority

To act as a Traveller, you must:

  • Be at least 18 years of age
  • Have legal capacity to enter into this Agreement
  • Provide complete and accurate identity, contact and payout information
  • Be legally permitted to provide the relevant Traveller Services
  • Not be suspended or restricted from acting as a Traveller on ZapLah

If you accept this Agreement on behalf of a business or other legal entity, you confirm that you have authority to bind that entity. References to “you” will then include that entity where applicable.

3. Role of ZapLah

ZapLah operates a peer-to-peer technology marketplace that connects Requesters seeking products with Travellers who may independently offer to purchase, carry and deliver those products.

ZapLah may facilitate communications, transaction records, payment processing, proof submissions, dispute administration and payout processing. However, ZapLah does not:

  • Employ or supervise Travellers
  • Purchase, carry or deliver items itself
  • Control whether you list a trip or accept a request
  • Guarantee that any request, offer, trip or transaction will be available
  • Guarantee any level of earnings, compensation or payout frequency
  • Guarantee the legality, quality, authenticity or availability of an item

4. Independent Traveller Relationship

The parties intend that you provide Traveller Services independently and not as an employee, worker, partner, franchisee, representative or agent of ZapLah. Nothing in this Agreement gives you authority to enter into obligations on behalf of ZapLah or to represent that you are authorised to bind ZapLah.

You decide whether to list a trip, make an offer, accept a request or provide Traveller Services. You are responsible for your own travel arrangements, availability, operating costs, licences, permits, declarations, insurance, taxes and reporting obligations.

Your legal status will ultimately depend on the actual circumstances and applicable law. Nothing in this Agreement is intended to exclude any employment or other statutory rights that legally apply to the actual relationship.

5. Traveller Services

Traveller Services may include:

  • Listing accurate trip and route information
  • Reviewing and accepting lawful item requests
  • Submitting or accepting an Offer through ZapLah
  • Purchasing the item described in the accepted Offer
  • Retaining and submitting proof of purchase
  • Carrying or transporting the item during your journey
  • Communicating with the Requester through ZapLah
  • Delivering or handing over the item as agreed
  • Submitting delivery evidence where required

You must perform Traveller Services honestly, carefully, lawfully and in accordance with the accepted Offer, this Agreement, the Terms and applicable ZapLah policies.

6. Trip and Offer Information

You must ensure that trip dates, routes, destinations, baggage availability, indicative fees, delivery availability and other information submitted through ZapLah are accurate and not misleading.

You must promptly update or remove information that is no longer accurate. You must not list a trip or make an Offer that you do not genuinely intend or reasonably expect to complete.

Indicative fees, estimated travel capacity and other trip information do not create an obligation until an applicable Offer has been accepted and any required payment has been successfully processed.

7. Lawful and Permitted Items

You must not agree to purchase, carry, import, export, transport or deliver any item that is illegal, prohibited, restricted, unsafe, stolen, counterfeit, fraudulent or contrary to ZapLah’s policies.

Before accepting a request, you are responsible for checking all applicable:

  • Airline and baggage requirements
  • Airport security restrictions
  • Customs and declaration requirements
  • Import and export restrictions
  • Product licensing or permit requirements
  • Origin-country and destination-country laws
  • Transit-country requirements where relevant

You must not accept a request where you are uncertain whether the item may lawfully or safely be purchased, carried, imported, exported or delivered.

ZapLah may cancel, restrict or investigate a transaction where an item appears prohibited, restricted, unsafe, misdescribed or otherwise unsuitable for the Services.

8. Purchasing and Item Accuracy

You must purchase the item described in the accepted Offer, including the agreed brand, model, size, quantity, colour, condition or other material specifications.

You must not substitute an item, materially change the purchase arrangement or incur an additional amount without first obtaining the Requester’s agreement through the ZapLah communication or transaction flow.

Where an item is unavailable, materially different or priced differently from the accepted arrangement, you must promptly notify the Requester and follow the available cancellation, amendment or dispute process.

9. Proof of Purchase and Records

You may be required to retain and provide:

  • Original or electronic purchase receipts
  • Item photographs
  • Product packaging or serial-number information
  • Purchase date, price and merchant information
  • Relevant communications and transaction evidence
  • Customs, declaration or transportation records where applicable

All information and evidence submitted must be complete, accurate, authentic and unaltered. You must not submit fabricated, edited, misleading or unrelated evidence.

You should retain relevant receipts and records until the transaction, applicable dispute period and payout process have been completed.

ZapLah may delay purchase approval, delivery confirmation or payout processing while required information or evidence remains outstanding.

10. Delivery and Handover

You must take reasonable care of the item while it is in your possession and complete delivery or handover according to the accepted Offer and agreed arrangements.

You and the Requester are responsible for selecting a safe and appropriate handover or delivery method. ZapLah does not itself provide transportation, courier, storage or insurance services unless expressly stated otherwise.

You must not mark an item as delivered or submit delivery evidence before the delivery or handover has genuinely occurred.

Where delivery cannot be completed, you must promptly communicate through ZapLah and follow the applicable support, cancellation or dispute process.

11. Traveller Compensation

The Traveller compensation is the amount shown in the accepted Offer, payment record or final transaction record after applying the relevant ZapLah platform fee and any disclosed adjustments.

Indicative fees displayed on trip listings, trends, converted-currency displays or other parts of ZapLah are estimates only. They are not guaranteed earnings, guaranteed exchange rates or guaranteed payout amounts.

No Traveller compensation becomes payable merely because a trip was listed, an Offer was submitted or a request was viewed. Compensation remains subject to the accepted transaction, successful payment, performance of the Traveller Services, delivery requirements, dispute conditions and payout eligibility.

12. ZapLah Platform Fee

Unless a different fee is clearly displayed and accepted for the relevant transaction, ZapLah retains a platform service fee equal to ten percent (10%) of the original transaction amount, and the remaining ninety percent (90%) is allocated as the Traveller’s service payout.

The applicable transaction record will be the source of truth for the original transaction amount, platform fee and Traveller payout.

ZapLah may introduce or amend fees for future transactions by providing notice through the Services. A changed fee will not retroactively alter a transaction already accepted unless required to correct an error, process a refund or resolve a dispute.

13. Payout Currency and Foreign-Exchange Conversion

Traveller compensation is calculated and recorded in Singapore dollars (SGD), unless the applicable transaction record expressly states otherwise.

For a payout to a receiving account denominated in another currency, ZapLah may submit the SGD payout entitlement together with the destination currency and recipient details to the selected payout provider.

The payout provider, intermediary bank or receiving institution may convert the SGD amount into the destination currency using its applicable exchange rate, charges, deductions and processing rules at the time of transfer.

Any local-currency amount, exchange rate or converted estimate displayed by ZapLah before the transfer is indicative only and is not a guaranteed provider rate or guaranteed amount receivable.

The final destination amount may differ because of foreign-exchange movements, provider charges, intermediary-bank charges, recipient-bank charges, rounding, regulatory deductions or other matters outside ZapLah’s reasonable control.

14. Payout Eligibility and Processing

A Traveller payout may be processed only after the applicable requirements have been satisfied, which may include:

  • Successful Requester payment
  • Valid purchase evidence
  • Valid delivery evidence or delivery confirmation
  • Expiry of any applicable confirmation or dispute period
  • Completion of identity or payout verification
  • Availability of complete and accurate payout details
  • Resolution of any refund, chargeback, fraud or compliance review

Payout timings shown in the Services are estimates and may be affected by banking hours, weekends, public holidays, foreign-exchange processing, compliance checks, recipient-bank processing and payout-provider availability.

ZapLah does not guarantee that a payout provider or receiving institution will complete a transfer within a particular period.

15. Payout Information

You must provide complete and accurate payout information, including where required:

  • Account-holder or recipient name
  • Bank name and account number
  • Routing, branch, bank or SWIFT information
  • Recipient country and destination currency
  • Address, city, state and postal information
  • Telephone number and email address
  • Identity, date-of-birth or compliance information

The account-holder name and other payout information should match the information held by the receiving institution.

ZapLah is not responsible for delays, rejected transfers, returned funds, additional charges or losses caused by incomplete, inaccurate, outdated or inconsistent information supplied by you.

ZapLah may request updated information, supporting documents or additional verification before processing or reprocessing a payout.

16. Payout Statements, Taxes and Compliance Records

You authorise ZapLah to generate, retain and send transaction summaries, Traveller Service Payout Statements, agreement records and related documents for completed Traveller Services.

A Traveller Service Payout Statement is a transaction record showing the applicable service and payout information. Unless expressly stated otherwise, it is not a tax invoice, employment payslip, bank statement or guarantee that all tax or reporting obligations have been satisfied.

You are responsible for determining and complying with your own tax, registration, licensing, accounting and reporting obligations. You should obtain independent professional advice where necessary.

ZapLah may provide relevant transaction, identity, agreement or payout records to payment providers, payout providers, financial institutions, auditors, professional advisers, regulators, courts, law-enforcement agencies or other authorities where reasonably required for:

  • Payment and payout processing
  • Identity and account verification
  • Fraud, abuse or money-laundering prevention
  • Chargeback or dispute administration
  • Audit, accounting or recordkeeping
  • Regulatory, legal or compliance obligations

17. Cancellations, Refunds, Chargebacks and Disputes

A transaction or payout may be delayed, adjusted, reversed, cancelled or withheld while ZapLah or a payment provider investigates:

  • A cancellation or refund request
  • A payment failure or chargeback
  • Suspected fraud or account misuse
  • A prohibited or restricted item concern
  • Missing, inconsistent or disputed evidence
  • Non-delivery, incorrect delivery or item-condition concerns
  • A breach of this Agreement, the Terms or applicable policies
  • A legal, regulatory, sanctions or compliance concern

You must cooperate reasonably with an investigation and provide requested information within the stated period.

ZapLah may make an administrative determination concerning the temporary withholding, release, adjustment, reversal or refund of funds using the accepted Offer, transaction records, submitted evidence, communications, platform policies and applicable payment-provider rules.

Any administrative determination made by ZapLah does not exclude legal rights or remedies that cannot lawfully be excluded.

Where a completed Traveller payout is later subject to a successful chargeback, refund, duplicate payment, fraud finding or processing error attributable to the relevant transaction, ZapLah may seek repayment or apply a reasonable adjustment to amounts otherwise payable to you, to the extent permitted by law and after providing relevant information about the adjustment.

18. Personal Data and Communications

ZapLah may collect, use, disclose and retain your identity, contact, travel, bank, payout, transaction, device, communication and agreement information for purposes including:

  • Account and Traveller administration
  • Provision of the Services
  • Payment and payout processing
  • Customer support and dispute resolution
  • Platform safety, fraud prevention and security
  • Legal, regulatory, audit and compliance obligations
  • Enforcement of this Agreement and the Terms

You agree that ZapLah may send service-related communications through the application, email, push notification, SMS, WhatsApp or other contact methods associated with your account, subject to applicable law and your communication settings.

19. Suspension and Termination

ZapLah may restrict, suspend or terminate your ability to act as a Traveller where:

  • Information supplied by you is inaccurate, incomplete or misleading
  • An item or activity appears unlawful, restricted or unsafe
  • You fail to provide required purchase or delivery evidence
  • You misuse payment, payout, review, request or communication features
  • Fraud, chargeback, compliance or security concerns arise
  • You breach this Agreement, the Terms or applicable policies
  • Continued access may expose users, third parties or ZapLah to harm or liability
  • Restriction is required by a payment provider, authority or applicable law

Suspension or termination does not affect rights, obligations, investigations, refunds, disputes or payment adjustments arising from activities that occurred before the suspension or termination.

20. Disclaimers and Limitation of Liability

The Services are provided on an “as available” basis. To the fullest extent permitted by applicable law, ZapLah does not guarantee:

  • Continuous or error-free availability of the Services
  • Availability of any request, trip, Offer, transaction or payout route
  • The conduct, identity or reliability of another User
  • The legality, quality, authenticity or availability of an item
  • A particular payment, payout or foreign-exchange processing time
  • A particular level of Traveller earnings

To the fullest extent permitted by applicable law, ZapLah is not responsible for indirect, incidental, special, exemplary or consequential losses, or for loss of profit, revenue, opportunity, goodwill or data.

ZapLah is not responsible for travel disruption, airline decisions, airport restrictions, customs decisions, seizure or confiscation, receiving-bank decisions, payout-provider conversion differences, intermediary-bank charges or delays outside ZapLah’s reasonable control.

To the fullest extent permitted by applicable law, ZapLah’s aggregate liability arising from or relating to the relevant Traveller Services will not exceed the total ZapLah platform service fees attributable to your transactions during the six months immediately preceding the event giving rise to the claim.

Nothing in this Agreement excludes or restricts any liability, right or remedy that cannot lawfully be excluded or restricted, including liability for death or personal injury resulting from negligence where applicable.

21. Responsibility for Breach

You remain responsible for losses, penalties, costs or claims arising directly from your fraud, deliberate misconduct, unlawful activity, material misrepresentation or material breach of this Agreement.

This section does not require you to compensate ZapLah for losses caused by ZapLah’s own negligence, unlawful conduct or breach, and applies only to the extent permitted by applicable law.

22. Changes to this Agreement

ZapLah may update this Agreement from time to time to reflect changes to the Services, Traveller processes, payout arrangements, platform policies, security requirements, business operations or applicable laws.

Where a change is material, ZapLah may provide notice through the application, website, email, push notification or another reasonable communication method. You may be required to review and affirmatively accept the new version before creating new trips, submitting new Traveller Offers, accepting new Traveller requests or accessing relevant Traveller and payout features.

Your acceptance record will identify the applicable agreement version. New Traveller activities may be governed by the newly accepted version, while earlier transactions and records may remain linked to the version accepted or applicable when those activities occurred.

23. Assignment and Severability

You may not transfer or assign your rights or obligations under this Agreement to another person without ZapLah’s prior written consent.

ZapLah may transfer its rights and obligations as part of a corporate reorganisation, financing, merger, acquisition, sale of business or transfer of the Services, subject to applicable law.

If any provision of this Agreement is found invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

24. Entire Agreement and No Waiver

This Agreement, together with the Terms and policies incorporated by reference, constitutes the agreement between you and ZapLah concerning the Traveller Services.

A failure or delay by ZapLah to exercise a right under this Agreement does not waive that right. Any waiver must be clearly communicated in writing by an authorised representative of ZapLah.

25. Governing Law and Jurisdiction

This Agreement is governed by the laws of Singapore.

Subject to any dispute process required by applicable law or the ZapLah platform policies, the parties submit to the non-exclusive jurisdiction of the courts of Singapore.
